1. Marketplace Role & Disclaimer
The Marketplace ("Platform") operates solely as an online venue for users to list, discover, and communicate about products.
- No Agency Relationship – We are not an agent, broker, partner, or intermediary in any transaction between buyers and sellers.
- No Involvement in Payments – We do not process payments, collect funds, or guarantee any transactions. All payment arrangements are made directly between buyers and sellers.
- No Responsibility for Fulfillment – We do not handle shipping, delivery, storage, or quality control. The condition, quality, and timely delivery of any product are solely the responsibility of the seller.

2. User Responsibilities
2.1 For Sellers:
- Accuracy of Listings – All product descriptions, prices, and details must be accurate and not misleading.
- Compliance with Laws – All products must meet applicable local, state, federal, and international laws.
- USDA Compliance – All protein products (meat, poultry, seafood) must be wholesome, safe for human consumption, and meet all USDA requirements for sale.
- Disclosure of Issues – Any defects, quality issues, safety concerns, or compliance problems must be clearly disclosed in the product listing.
- Responsibility for Product – Sellers are solely responsible for the product's legality, safety, labeling, storage, and shipment.
2.2 For Buyers:
- Due Diligence – Buyers are responsible for verifying the credibility of sellers and the quality of the products before entering into any transaction.
- Compliance – Buyers must ensure that their purchase, import, and use of products comply with all applicable laws and regulations.
3. Liability Limitation
- No Liability for Transactions – The Platform and its owners are not responsible for any disputes, losses, fraud, damaged goods, product defects, contamination, or non-payment between parties.
- No Warranty – All listings are provided "as is" without any guarantees as to accuracy, quality, or completeness.
- Maximum Liability – To the fullest extent permitted by law, the Platform's total liability to any user for any claim shall not exceed the amount paid by the user for accessing the Platform.
4. Dispute Resolution
- Direct Negotiation – Buyers and sellers must resolve all disputes directly between themselves.
- No Mediation Role – The Platform will not mediate or become involved in any dispute unless required by law.
- Jurisdiction & Governing Law – Any legal action involving the Platform or its owner must be filed in a court located in the jurisdiction where the Platform's owning entity is based, under United States law.
- Legal Costs – If any user initiates legal proceedings against the Platform or its owner and does not prevail, that user shall be responsible for covering all legal fees and costs incurred by the Platform.
5. Prohibited Activities
Users may not:
- Post false or misleading product information
- Engage in fraudulent payment schemes
- List illegal, unsafe, expired, contaminated, or unlicensed products
- Violate USDA, FDA, or other food safety standards
- Spam, harass, or abuse other users or the Platform
6. Indemnification
Users agree to indemnify, defend, and hold harmless the Platform, its owners, employees, and affiliates from any claims, damages, losses, liabilities, or legal actions arising from their use of the Platform, their products, or their transactions.
7. Account Suspension & Termination
The Platform reserves the right to remove any listing, suspend any account, or permanently ban users at its sole discretion for violations of these Terms & Conditions, without refund.
8. Acceptance of Terms
By creating an account, listing products, or engaging with the Platform, you acknowledge that you have read, understood, and agree to these Terms & Conditions.
